These Terms and Conditions ("Terms") govern access to and use of the mobile application "Salute AP" ("App", "Platform", "Service") owned and operated by SYES TRENDINFOTECH PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at [Registered Office Address] ("Company", "we", "us", "our"). These Terms constitute a legally binding agreement between the Company and each individual who downloads, accesses, registers on, or otherwise uses the App ("User", "you", "your").

By downloading, installing, registering on, or using the App in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the App.

1. Definitions

"AP Coins" means the non-monetary, non-transferable loyalty reward points/units credited to a User's in-app account for performing Qualifying Actions on the App, as further described in Clause 5.
"Qualifying Action" means an act recognised by the Company as eligible for AP Coins, including but not limited to submitting a "Salute" gesture/content directed at the State of Andhra Pradesh, its leaders, freedom fighters, actors/actresses, or one's parents, completing profile steps, daily check-ins, or successful referrals, as made available on the App from time to time and at the Company's sole discretion.
"Redemption Partner" means a third-party brand, merchant, or gift-card/voucher issuer whose vouchers, gift cards, or coupons are made available for redemption against AP Coins.
"Referral Program" means the feature described in Clause 7 through which a User may invite other individuals to register on the App.
"Content" means any photo, video, text, audio, or other material uploaded, posted, or submitted by a User through the App.

2. Eligibility

2.1 The App is intended for use by individuals who are at least 18 (eighteen) years of age and competent to contract under the Indian Contract Act, 1872. If you are between 13 and 17 years of age, you may use the App only with the involvement, supervision, and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The App is not intended for children under 13, and we do not knowingly permit registration by, or knowingly collect personal data from, children under 13.

2.2 By registering, you represent and warrant that all information provided by you is true, accurate, current, and complete, and that you will maintain and update such information as necessary.

2.3 The Company reserves the right to refuse registration to, or terminate the account of, any person at its sole discretion, including where eligibility cannot be verified.

3. Description of the Service

3.1 Salute AP is a loyalty and civic-engagement application that allows Users to express appreciation ("Salute") for the State of Andhra Pradesh, its leaders, freedom fighters, actors and actresses, and their own parents, through in-app gestures and Content submissions.

3.2 Users who perform Qualifying Actions earn AP Coins, which may be accumulated in their in-app wallet and redeemed solely for vouchers, gift cards, or coupons made available by Redemption Partners on the App, subject to these Terms.

3.3 The Company reserves the right to add, modify, suspend, or discontinue any feature, Qualifying Action, or Redemption Partner offering at any time, with or without notice.

4. Account Registration and Security

4.1 You must register using accurate mobile number/email and, where applicable, complete any KYC (Know Your Customer) steps required for redemption.

4.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at [support email] of any unauthorised use.

4.3 Each individual may hold only one account. Multiple, duplicate, or fraudulently created accounts may be suspended or terminated without prior notice and any associated AP Coins forfeited.

5. Nature and Value of AP Coins — Important Terms

5.1 AP Coins are a loyalty/reward instrument only. They do NOT constitute currency, legal tender, a deposit, a financial security, a prepaid payment instrument, or any form of investment. AP Coins have no cash value, cannot be purchased with money, cannot be exchanged for cash, bank transfer, or UPI payment under any circumstance, and cannot be sold, gifted, pledged, or transferred to any other User or third party.

5.2 AP Coins may be redeemed ONLY for vouchers, gift cards, or coupons offered by Redemption Partners within the App, in accordance with Clause 6. The Company does not offer, and will not offer, direct cash payout, bank transfer, or UPI payout against AP Coins.

5.3 AP Coins have no value outside the App and confer no ownership, equity, or other legal right in the Company. The number of AP Coins credited for any Qualifying Action, and the exchange ratio between AP Coins and voucher value, is determined solely by the Company and may be changed at any time without prior notice.

5.4 AP Coins may expire if unused for a period of [12] months from the date of last account activity, or upon account closure/termination, as further notified in-app.

5.5 The Company reserves the right to correct, adjust, freeze, or reverse any AP Coins credited in error, through technical malfunction, or as a result of fraudulent or abusive activity.

6. Earning and Redeeming AP Coins

6.1 Earning

AP Coins are credited for Qualifying Actions as displayed in-app at the time of the action, subject to daily/periodic limits set by the Company.
Submitted Content (e.g., a "salute" photo/video) must comply with Clause 9 (User Conduct) and Clause 10 (Content Guidelines) before AP Coins are credited; the Company may withhold or reverse credit for non-compliant Content.
The Company may run time-bound campaigns, multipliers, or bonus offers at its discretion.

6.2 Redemption

AP Coins may be redeemed for available vouchers/gift cards once a User reaches the applicable minimum threshold shown in-app.
Redemption requests are fulfilled subject to (i) successful completion of any KYC/verification steps, (ii) stock/availability from the relevant Redemption Partner, and (iii) the Redemption Partner's own terms, which govern use, validity, and expiry of the voucher/gift card itself.
Vouchers/gift cards, once issued, are generally non-refundable and non-exchangeable for cash, and are subject to the issuing brand's own terms and conditions.
The Company acts only as a facilitator between the User and the Redemption Partner and is not responsible for the quality, validity, or performance of goods/services obtained using a redeemed voucher.

7. Referral Program

7.1 Users may invite other eligible individuals to join the App using a unique referral code/link. AP Coins are credited to the referring User only upon the referred individual completing genuine registration and any additional Qualifying Action(s) specified in-app (e.g., first salute submission).

7.2 The Referral Program is a customer-acquisition incentive only. It does NOT constitute, and must not be used or represented as, a money circulation scheme, chit fund, or multi-level/pyramid marketing scheme. No User earns AP Coins or any monetary benefit merely for recruiting other Users into a downline or hierarchy, and there is no requirement for any User to make a payment to participate in or benefit from the Referral Program.

7.3 Self-referral, use of fake/duplicate accounts, bots, incentivised sign-up farms, or any other method to artificially inflate referral counts is strictly prohibited. The Company may, at its sole discretion, invalidate suspicious referrals and reverse associated AP Coins, and may suspend or terminate the accounts involved.

7.4 The Company may modify, cap, limit, or discontinue the Referral Program at any time.

8. Prohibited Conduct

You agree that you shall not:

Create fraudulent, fake, bot-operated, or duplicate accounts, or use automated means (scripts, bots, emulators) to earn AP Coins;
Upload Content that is obscene, defamatory, communal, casteist, hateful, or that disrespects the National Flag, National Emblem, National Anthem, or any protected symbol contrary to the Prevention of Insults to National Honour Act, 1971, the Emblems and Names (Prevention of Improper Use) Act, 1950, or the Flag Code of India, 2002;
Impersonate any person, including any leader, freedom fighter, actor/actress, or public figure, or upload another person's image/likeness without consent;
Upload Content that infringes any third party's intellectual property, privacy, or publicity rights;
Attempt to reverse engineer, hack, probe, or interfere with the App's functioning or security;
Use the App for any unlawful purpose or in violation of any applicable law, including the Information Technology Act, 2000 and rules made thereunder.

Violation of this Clause may result in immediate suspension or termination of your account and forfeiture of AP Coins, without prejudice to any other legal remedy available to the Company.

9. Content and Intellectual Property

9.1 You retain ownership of Content you submit. By submitting Content, you grant the Company a worldwide, royalty-free, non-exclusive, sub-licensable licence to host, store, reproduce, display, and use such Content within the App and in the Company's promotional/marketing materials related to the App, for so long as reasonably required for these purposes, subject to your right to request deletion under our Privacy Policy.

9.2 You are solely responsible for ensuring you have the necessary rights and consents (including consent of any identifiable individual, such as a parent, appearing in your Content) to submit such Content.

9.3 All trademarks, logos, App design, software, and other intellectual property in the App (excluding User Content) are owned by or licensed to the Company. Nothing in these Terms grants you any right to use the Company's trademarks or branding without prior written consent.

9.4 The Company respects third-party intellectual property and will act on legitimate takedown requests. Contact info@saluteap.club to report suspected infringement.

10. Suspension and Termination

10.1 You may stop using the App and request account deletion at any time through the App settings or by writing to info@saluteap.club

10.2 The Company may suspend or terminate user access, with or without notice, if it reasonably believes you have violated these Terms, engaged in fraud or abuse, or if required by law or a governmental/regulatory authority.

10.3 Upon termination for cause (fraud, abuse, or Terms violation), any unredeemed AP Coins may be forfeited. Upon voluntary account deletion in good standing, the Company will inform you in-app of the treatment of any unredeemed AP Coins prior to deletion.

11. Disclaimers

11.1 The App and all AP Coins, offers, and Redemption Partner vouchers are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free operation, to the maximum extent permitted by applicable law.

11.2 The Company does not guarantee the availability of any specific voucher, gift card, or Redemption Partner offer at any given time and reserves the right to substitute equivalent-value alternatives where an offer becomes unavailable.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of AP Coins due to circumstances beyond the Company's reasonable control (including technical failure, fraud by third parties, or force majeure events). The Company's aggregate liability arising out of or relating to these Terms or the App shall not exceed the value, if any, actually attributable to the affected AP Coins as reasonably determined by the Company.

13. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Content, or your violation of any law or third-party right.

14. Changes to These Terms

The Company may revise these Terms from time to time. Material changes will be notified via in-app notice or email at least 14 days before taking effect where feasible. Continued use of the App after such changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 15 below, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at [City], Andhra Pradesh / [State], India.

Any dispute may first be referred to arbitration by a sole arbitrator appointed by the Company, in accordance with the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration at [City], and the proceedings conducted in English, where the Company elects to invoke this clause.
